Terms of Use Agreement- PTset

By using our Software, you agree to and comply with the following Terms of Use . In these Terms, the word " PTset " or "Software" refers to the software product provided by PTset . The terms " we," "us , " and "our" refer to PTset .

1.        Minimum contract term

If you choose to move to a contract Its duration 1, 6, or 12 months With PTset , when you complete an order or move to a contract mid-term, you agree to remain committed to the contract for the specified period. A deposit is due upon signing. The contract extends for the minimum term you choose: 1, 6, or 12 months .

2.        Payment / Fees

2.1.      Subscription fees : The subscription fee is paid , which You will be notified of the initial amount in advance, via direct debit. We reserve the right to amend the subscription fees from time to time. You will be notified of any such amendment in writing at least 30 days prior to its effective date. All fees Subscription Other fees due from you to us include applicable value-added tax, which you must pay at the rate prescribed by law .

2.2.      Account Downgrade and Cancellation: Downgrading your account from a higher plan to a lower plan or canceling it may result in loss of access to content, features, or services associated with your subscription. PTset assumes no liability for any such loss .

2.3.      Subscription Payments : All monthly subscription fees must be paid in advance. Failure to pay may result in your access to the PTset subscription being suspended until full payment is made. Your payment obligation begins as soon as you gain access to PTset , regardless of when the system was activated .

2.4.      Account Setup and Training: If no setup fee is charged, account setup assistance is limited. We provide written tutorials and online training materials to help you set up and configure your system independently. Any in-person, on-site, or telephone training requests will incur a fee, which will be determined upon request .

2.5.      Refund Policy : No refunds for :

·         Unused subscription period, regardless of cancellation date .

·         Training services or content already provided .

2.6.      Objection to fees : If you have any questions about fees charged to your account, please contact us immediately. If there are incorrect fees, we will immediately credit your account with the correct amount .

2.7.      Accepted payment methods : PTset accepts payment via credit cards which we process via PayPal Or bank transfers to ptset@instapay account which we process via instapay .

2.8.      Requirement to use a valid payment method: You are responsible for maintaining a valid and up-to-date payment method in your account. . Failure to do so may result in your access to the PTset Services being terminated . Immediately. If you fail to provide us with a valid payment method upon our request, we reserve the right to suspend or terminate your account. Upon termination of the service, we will provide your data in a machine- readable format so that you can transfer it to another service provider .

3.        Intellectual Property Rights and Licensee Rights

The PTset Software , its Licensed Materials and all associated intellectual property rights, whether now existing or arising in the future, are the exclusive property of a legal person, Ibrahim Abdel Rafe Ibrahim Ibrahim Salem. In accordance with Egyptian Intellectual Property Law No. 82 of 2002 , this includes, but is not limited to, copyright, patents, trade secrets, trademarks, design rights, database rights, and any other proprietary rights related to the licensed software materials .
As the licensee, you are granted a limited, non-exclusive, non-transferable, revocable license to use the software and related materials solely for the purpose of accessing and enjoying the services provided under this Agreement. This license does not grant any ownership or rights in the software or the underlying intellectual property, other than the limited rights expressly granted in this Agreement. You
agree not to do the following, and will not allow any third party to do the following :

1.        copy , modify, distribute, sell or lease any part of the Licensed Software Materials;

2.        reverse engineer, disassemble, or otherwise attempt to derive the source code of the Software, except where such activities are expressly permitted by law or this Agreement;

3.        Use the Licensed Materials in a manner that infringes or violates our intellectual property rights or the rights of any third party .

Any improvements, enhancements, or modifications to the Software or its Materials, whether proposed by you or any third party, automatically become the property of PTset without any additional compensation or obligation to you.
The Licensor reserves all rights not expressly granted to you under this Agreement. Any unauthorized use of the Licensed Software Materials or any violation of the terms hereof may result in termination of your license and cancellation of your access to the Services .

4.        Guarantees

We warrant that, in fulfilling our obligations under these Terms of Use, we will adhere to standards of care and skill consistent with current industry standards in the software industry. We also warrant that all personnel involved in providing the Services possess the necessary qualifications and experience for their assigned tasks . The warranties provided herein are conditional upon your compliance with the obligations set forth in these Terms of Use. These warranties are also subject to the limitations and exclusions of liability set forth in this Agreement .

5.        Termination

5.1.      Customer-Initiated Termination: You are solely responsible for canceling your account. You may cancel your account at any time by completing the applicable cancellation form or by providing at least 30 days' prior written notice. Upon termination of your subscription , all access to your subscription and any associated data or services will cease immediately. No refunds will be provided for any subscription period remaining after cancellation, unless otherwise stated in this Agreement .

5.2.      Termination by us : We reserve the right to terminate the license and your account immediately by sending you written notice if :

• You have committed a material breach of any provision of these Terms of Use; or
• We may terminate your subscription and account at our discretion, with 30 days' prior written notice, if we determine that there has been a break in the business relationship between your organization and us. In these cases, we will assist you in maintaining an electronic copy of your data in spreadsheet form in the system-available formats for use with another service provider.

5.3.      Termination effect : Upon termination of subscription or this Agreement regardless of the reason for termination , the following terms apply :

All rights granted to you under this Agreement will immediately cease, and you will no longer be able to access the Licensed Software or any related Services .

Any fees or costs due prior to termination, including unpaid invoices or fees due , are due and payable .

Termination of the Agreement shall not affect any rights or obligations accrued to either Party prior to the date of termination of the Agreement, nor shall it affect the continuity of any provision of this Agreement which is expressly or impliedly intended to remain in effect after termination of the Agreement .

5.4.      Data Transfer Upon Termination: In the event of termination due to a break in the relationship, as determined by us, we will, upon your written request and within a reasonable period of time, aggregate your data in the form of data tables In the formats available in the system To allow you to use it with another service provider.

5.5.      Conditions remain : remain Provisions of this Agreement that by their nature are intended to survive termination including, without limitation, those relating to intellectual property rights, confidentiality, limitation of liability, and payments due shall remain in full force and effect after termination of this Agreement .

 

6.        Subscription fees upon termination or cancellation of optional additional services or support services

6.1.      Customer Responsibility for Termination or Cancellation: You, as the Subscriber, are solely responsible for terminating or canceling any Subscription, Add-ons or Support Services expressly provided by PTset, and written notice thereof must be sent to info@ptset.com .

6.2.      Formal Written Notice Requirement: All requests to cancel or downgrade any subscription, add-ons, or support services must be submitted to us in writing. Verbal or informal cancellation requests will not be accepted. Cancellation will not be effective until we receive and confirm your formal written notice . If we do not receive written notice of cancellation, our contract with you will remain in full force and effect, and you will remain responsible for all fees due, regardless of whether you have access to your account, support services, or any add- ons .

6.3.      There are no refunds for unused services . : Do not review PTset Accounts, User Agreements, or Support. Therefore, any continued payment for Subscriptions, Add-ons, or Support Services constitutes evidence that the contract between us remains valid and enforceable. We will not issue any refunds or credits for unused Services, Support, or Add-ons, even if you no longer access your account or use the Services .

6.4.      Contractual obligations remain in effect: Until we receive and acknowledge formal written notice of cancellation, the contract between you and PTset All fees, including any recurring payments for subscriptions, add-ons, or support services, will remain due. Failure to provide written notice will result in your continued payment obligations, without any right to claim refunds or credits for any reason .

 

7.        30-day money-back guarantee on subscriptions

We offer a 30-day money-back guarantee on any paid subscription, with a full refund if you are not satisfied with the service. This guarantee is subject to the following terms of use :

7.1.      Eligibility for a refund : To be eligible for a refund, you must submit a written request to info@ptset.com . Within 30 days from the date you receive your login information. The 30-day period begins from the date you make access to the platform available after making a payment, regardless of the date you first use the service .

7.2.      Recovery range : The refund applies only to subscription fees paid for the first 30 days of service. The refund will not apply to any additional services, add-ons, or support fees incurred during this period unless otherwise agreed by PTset .

7.3.      Cancellation and refund procedures : To initiate the cancellation and refund process, you must submit your request in writing via email info@ptset.com . , Include your account details and a brief reason for cancellation. We will process your refund request within 30 days of receiving your written notification. Refunds will be made via the original payment method used to pay for your subscription .

7.4.      Exceptions to refund : The 30-day money-back guarantee does not apply to :

• Renewing existing subscriptions : The money-back guarantee only applies to the first subscription payment .
• Additional Services or Add-ons : Any fees paid for optional add-ons, custom services, training, or other one-time purchases are non-refundable .
• Accounts canceled after 30 days : Refund requests received after the initial 30-day period will not be eligible for a refund .

7.5.      Restrictions : The money-back guarantee only applies to the first subscription you purchased. If you cancel and resubscribe later, the money-back guarantee will not apply to subsequent subscriptions .

8.        Data

If you cease to be a customer of PTset , we will retain your data for 90 days, after which period your data will be permanently removed from our system.

Please note that if you cancel a Direct Debit or repeat failed payments, and we are unable to contact you to set up an active subscription, we will write to you and let you know that the cancellation has taken effect, and you should expect us to only keep your data for 90 days after this notice.

Please note that if you do not log in to your account within 6 months, we will classify your account as inactive, you will cease to be a customer, and we will delete your account and data. 9.        Export data

We provide options In formats Multiple options for exporting your data from PTset allow you to manage your data in the way that best suits your needs.
The terms of use for each option are as follows :

9.1.      Self-managed data export: You can independently export your data at any time during your subscription using the built-in reporting feature. This feature allows you to download the data you need whenever you want. Our customer support team is available to provide guidance and assistance on how to use this feature effectively . PTset is not responsible for any errors or omissions in self-administered exports, and it is your responsibility to ensure the accuracy and completeness of data exported using this method .

9.2.      Managed Data Export: We offer a managed data export service, where our developers export and organize all your electronic medical records and other data on your behalf. This is a paid service, provided upon your request, and can be scheduled for an agreed-upon date and time. The cost of the managed export service is $ 100 . The fee for this service must be paid in full before the export process begins. PTset makes no guarantees regarding the timeframe or delivery of data unless otherwise agreed upon in writing, and the service is provided as is .

·         Export Restrictions : PTset exports data only in the formats available in the system at the time of the request. We are not obligated to provide data in any third-party proprietary format or integrate it with external systems as part of the export process.

• The Managed Export Service does not include data conversion , personalization, or export of proprietary or third-party content that is not directly managed by PTset .
• After you terminate your account and complete any data export request, you will no longer have PTset any other obligations to retain or provide access to your data.

9.3.      Data Export Finality: Once your data export is complete—whether via the free option or the managed service—you must confirm receipt and integrity of the data within 7 business days . After this period, PTset will consider the data export final and complete, and no further assistance or re-export will be provided without additional charge. Any data export requests after this time will be subject to additional charges and must be submitted in writing.

To ensure compliance with data protection laws, the data export processes described above are in full compliance with Egyptian Personal Data Protection Law No. 151 of 2020.

9.4.      Data Access and Portability : Under Under Egyptian Personal Data Protection Law No. 151 of 2020 , data subjects have the right to access their personal data and, in certain circumstances, the right to data portability .
The available options—self-managed export, managed export, and free export upon termination—are designed to fulfill these rights by ensuring customers have multiple ways to access and retrieve their data in a secure and timely manner .

10.     Data protection

10.1.         Compliance with Data Protection Laws : Both PTset hereinafter referred to as “we” or “us” and you, the customer, agree to comply with all applicable data protection legislation, including but not limited to the Data Protection Act No. 151 of 2020. and the General Data Protection Regulation in the Arab Republic of Egypt , and any other relevant legislation, regulations or guidelines that may be in effect during the term of this Agreement .

10.2.         Roles and responsibilities

• As a data processor, you will: PTset By processing your personal data on your behalf as the data controller in accordance with the instructions and terms set forth in this Agreement, and as required by applicable law. We will take appropriate technical and organizational measures to ensure the security, confidentiality, and integrity of the personal data processed under this Agreement .
• As a data controller, you acknowledge that it is your responsibility to ensure that any personal data you provide to us for processing is obtained lawfully and that you have a valid legal basis for such processing, as required by data protection legislation .

10.3.      Lawful Processing: You, as the data controller, ensure that any personal data transferred to PTset The processing has been lawfully obtained, and you have obtained all necessary consents and/or fulfilled all legal requirements for the lawful processing of this data. We will not be liable for any processing carried out in accordance with your instructions that is unlawful, inaccurate, or in violation of any data protection legislation .

10.4.      Data Security and Breach Notification: We will implement appropriate security measures to protect personal data from unauthorized access, loss, or disclosure, in accordance with the Data Protection Act No. 151. For the year 2020 and the General Data Protection Regulation in Arab Republic of Egypt In the event of a data breach, we will notify you as soon as we learn of the breach and provide you with sufficient information to enable you to fulfill any reporting obligations under applicable law. We will also take appropriate measures to mitigate the effects of the breach and prevent further incidents .

10.5.      Data Subject Rights and Assistance: We, as the data controller, will provide you with reasonable assistance in responding to any requests from data subjects exercising their rights under the Data Protection Act No. 151. For the year 2020 or the General Data Protection Regulation in Arab Republic of Egypt , including but not limited to rights of access, correction, and erasure. Any such assistance will be charged at our standard rates, unless otherwise required by law .

10.6.      Termination of this Agreement and Data Retention: Upon termination of this Agreement, we will, at your direction, either securely delete or return all personal data processed on your behalf, unless retention is required by applicable law. If you wish to return or transfer your data, you will be notified in advance of any associated costs, which you must pay before the data is transferred .

 

11.     Accounts and Passwords

11.1.      Registration Requirement : To access and use PTset's services the "Service" , you must be a registered user. By registering for an account, you agree to provide accurate, current, and complete information during the registration process. Failure to provide accurate information may result in the suspension or termination of your account .

11.2.      Accuracy of Account Information: You are responsible for ensuring the accuracy, truthfulness and currency of all information provided during registration, and any updates to your account PTset . not responsible for any problems or delays resulting from providing inaccurate or incomplete information .

11.3.      Password Security: You are solely responsible for maintaining the security and confidentiality of your account password. You must take all necessary precautions to ensure that your password is not disclosed or accessed by any third party. PTset will not be liable for any damages or losses incurred by you . Any loss or damage resulting from failure to protect your account credentials .

11.4.      Account Activity Responsibility: You are fully responsible for all activities that occur through your account, whether authorized or unauthorized. This includes any actions taken by third parties that gain access to your account due to your failure to maintain the confidentiality of your password. PTset will not be liable for any unauthorized access to or use of your account.

11.5.      Prevent unauthorized access : Must You must use all reasonable efforts to prevent unauthorized access to or use of the Service. If you suspect or become aware of any unauthorized access to or use of your account, you must notify us immediately at info@ptset.com You are responsible for any losses, damages or claims resulting from unauthorized access to your account if you do not notify us immediately .

11.6.      Account Security Measures : PTset may , At its discretion, we may implement additional security measures to protect user accounts, including, but not limited to, monitoring account activity and password reset protocols. However, implementing these measures does not relieve you of your responsibility to maintain the security of your account .

11.7.      Suspension or Termination for Violation : PTset reserves the right to suspend or terminate your account if it has reason to believe that you have violated any of the above provisions, including failure to provide accurate information or failure to maintain the security of your account. In the event of suspension or termination, you will remain responsible for any outstanding fees or obligations.

12.     Acceptable Use

This section of the Agreement governs your acceptable use of the PTset Service the "Service" . It ensures that you will not use the Service for any illegal or prohibited purposes, and outlines your responsibilities regarding your conduct and data .

12.1.         Responsible Use and Conduct: You are solely responsible for your conduct and any data you or your Authorized Users enter, upload, or otherwise process using the Service. You warrant that you have all necessary rights, licenses, permissions, and consents to use the Service and process your data, including compliance with applicable laws and regulations. PTset is not liable for any misuse of data or your failure to comply with legal obligations .

12.2.         Permitted Use of the Service: The Service, including any software that forms part of it, is provided for personal or internal business use only. You agree that your use will comply with all applicable laws, regulations, and rules, including but not limited to data privacy laws, and that your use will not infringe upon or violate the rights of any third party .

12.3.         Prohibition on sharing login data: You are not permitted, under any circumstances, to share your login data with any third party, including but not limited to competitors, agencies, or web development companies. You are responsible for maintaining the confidentiality of your login data and for any misuse or unauthorized access resulting from your failure to do so .

12.4.         User Limits: The number of users allowed to access the Service is limited according to the package you have purchased. You must not allow additional users beyond the agreed limit to access or use the Service. Any unauthorized user may result in your account being terminated or additional charges being incurred .

12.5.         Data Transfer and Additional Fees: While we may assist you in importing accounts and transferring data from previous systems, please be aware that hosting large amounts of files is a paid service. You will be notified of any additional fees before the transfer process begins. You acknowledge that some reports may not work with data transferred from previous systems, and it is recommended that reports be run from the implementation date .

12.6.         Right to Audit : Reserved PTset The Company reserves the right to review your use of the Service, at its expense and upon reasonable notice, to ensure compliance with these Terms of Service and any other applicable terms. If the review reveals that you exceed the permitted usage, you agree to pay any additional Service fees required for such excess usage immediately upon notification .

12.7.         Unauthorized Use and Legal Consequences: Any unauthorized use of the Service, including exceeding usage limits or sharing login credentials with unauthorized third parties, constitutes a violation of these Terms of Service and may violate applicable Egyptian law . Such violations may subject you, your employees, or your company to civil and criminal penalties .

12.8.         Service Availability: While we strive to provide service 24 hours a day, 7 days a week, you acknowledge and agree that the service may occasionally be unavailable during planned or unplanned maintenance periods. We will endeavor to schedule maintenance outside of normal business hours whenever possible, but we reserve the right to conduct unscheduled maintenance at any time .

14.2.      Appointment of PTset as Processor: As the data controller, the Customer appoints PTset as a data processor to process personal data on its behalf as needed to provide the services described in this Agreement. The scope of processing is limited to the services and purposes described herein .

14.3.      Purpose and scope of processing : Personal data will be processed only as necessary to provide the services requested by the customer or as required to comply with applicable laws or regulatory requirements. PTset will not process personal data for any other purpose except upon express written instructions from the customer .

14.4.      Confidentiality : All PTset employees who have access to personal data are bound by a duty of confidentiality, whether through employment agreements, contracts or legal obligations .

14.5.      Security Measures : PTset takes appropriate technical and organizational measures to protect personal data from accidental or unlawful destruction, loss, alteration, unauthorized access, or disclosure, as well as unlawful processing. These measures are designed to ensure data security in accordance with the General Data Protection Regulation .

14.6.      Data Access and Deletion : PTset includes mechanisms that enable the customer to download all of their personal data at any time. They can also request the deletion of any data subject's records, or the deletion of all of their personal data upon termination of the contract. These requests will be promptly responded to, in compliance with data protection laws .

15.     Marketing and Promotional Communications and Opt-Out

By requesting a demo, you agree to receive communications from us. We will handle your information in accordance with the privacy terms described here. By entering your phone number, you agree to receive phone calls and text messages from us .

If we process your personal data to send you marketing messages, you have the option to stop receiving these messages at any time. To opt out, simply follow the unsubscribe instructions included in our emails or reply with your request to opt out. Alternatively, you can contact us by email info@ptset.com .

Please note that opting out of marketing messages will not affect important communications related to your existing relationship. With PTset , you may receive important updates about your subscriptions, event registrations, service announcements, and security information as needed .

16.     Starter Kit

16.1.      Customer limit for starter package : Designed Starter Package Free Package for accounts with no more than 20 Users Active in it user. If the number of active customers in your account exceeds 20 users For one center At any time, your account will be automatically upgraded to the Limited Package with corresponding higher prices, starting from the next billing cycle.

16.2.      Automatic upgrade to Limited Package : When the limit is exceeded 20 User s, will be upgraded to Limited Package without prior notice, and the fees applicable to Limited Package will be charged. In the next billing cycle .

16.3.      Automatic upgrade to medium package : When the limit is exceeded 100 active users For one center will be upgraded to medium package Without prior notice, the applicable fees will be charged for the medium package . In the next billing cycle. You will not be eligible to continue on the Limited Plan unless you reduce the number of active users to below the 100 customer limit before the start of the next billing cycle .

17.     Nature of the agreement

17.1.      Personal Agreement and Assignment Restrictions : This Agreement, as described in these Terms of Use, is personal to both PTset “we” and the Customer. “You” , and neither party may assign, sublicense, or otherwise transfer any of its rights or obligations under this Agreement without the prior written consent of the other party. Such consent may not be unreasonably withheld .

17.2.      Full Agreement : This Agreement, together with these Terms of Use, constitutes the entire agreement between us and you with respect to the subject matter hereof. It supersedes any prior or contemporaneous agreements , understandings, negotiations, or representations, whether written or oral, relating to such subject matter. No amendment or modification to this Agreement shall be effective unless it is in writing and signed by duly authorized representatives of both parties .

17.3.      No Waiver : No failure or delay by either party in exercising any right, power, or remedy under this Agreement shall constitute a waiver of such right, power, or remedy, nor shall it prevent or restrict the continued exercise of any such right, power, or remedy. Furthermore, no waiver of any breach or default by either party shall be deemed a waiver of any subsequent breach or default, whether of the same or any other provision .

18.     Terms and Conditions Agreement

18.1.      Acceptance of Terms : By submitting your order, paying any setup fees, or setting up any payment method for the PTset Service , you acknowledge and agree to be legally bound by these Terms of Use. This Agreement shall remain in full force and effect until replaced or updated in accordance with the provisions below. Logging into the Program constitutes acknowledgment and acceptance of the Terms of Use .

18.2.      Binding Nature of Setup Fees and Payment Methods : Your payment of any setup fees or provision of payment details for Subscription Services constitutes your express acceptance of these Terms of Use. This constitutes a legally binding contract between you. And between PTset .

18.3.      Changes to the Terms of Use : PTset reserves the right to modify , update, or change these Terms of Use at any time, at its sole discretion. Any changes to the Terms will be effective immediately. Once published on our website or on the PTset platform

18.4.      Notice of Changes : We reserve the right to modify these Terms of Use at any time. Any changes will be effective immediately upon posting on this page, and we will not be obligated to provide individual or express notice of any updates. By continuing to use or access our Services after the posting of changes, you acknowledge and agree to the revised Terms. It is your sole responsibility to regularly review these Terms of Use to ensure you are aware of any modifications and remain bound by them. Failure to review the revised Terms does not relieve you of your obligation to comply with them .

18.7.      Disagreement with Terms : If you do not agree to any changes to the Terms of Use, you must stop using the Service immediately and notify us in writing. Your continued use of the PTset Service after the changes are posted constitutes your acceptance of the updated Terms .

19.     Limitation of Liability and Use of Third-Party Service Providers

19.1.      Hosting Providers and Third Parties : We use reputable third-party service providers hostingers to support service operations, including data hosting and email. These providers ensure the infrastructure and communications necessary to run our platform securely and efficiently .

19.2.      User Responsibility : Users are responsible for the security of their own accounts, including protecting their login credentials, and notifying us immediately of any unauthorized access or suspected misuse .
